Terms of Use

1. Scope of agreement and services

These Terms of Use (“Terms”) govern your access to and use of the website https://zoraintelli.com and the ZorAintelliplatform — including our AI voice agent ZOE (Zora Voice) and our post-call intelligence product Zora Insights (together, the “Services”) — operated by Zora Automation Private Limited (“ZorAintelli”, “we”, “us” or “our”). Specific commercial terms, such as pricing, service levels and data processing, are set out in a separate service order or services agreement (“Service Order”). In the event of a conflict between these Terms and a Service Order, the Service Order prevails for the relevant service. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Services.

2. Eligibility and account registration

You must be at least 18 years old (or the age of legal majority in your jurisdiction), legally competent to enter into a contract, and not barred from using the Services under applicable law. You are responsible for providing accurate registration information, maintaining the confidentiality of your account credentials, and all activity under your account. Notify us immediately of any unauthorised access to or use of your account.

3. Licence and intellectual property

We retain all rights, title and interest in and to the Services, including the platform, software, AI models, algorithms, trademarks and other intellectual property. You retain ownership of the data you submit to the Services (“Customer Data”). You grant us a worldwide, non-exclusive, royalty-free licence to use Customer Data to provide the Services, and to improve our products and AI models using aggregated or anonymised data. If you provide feedback or suggestions, you grant us an irrevocable, perpetual, transferable, non-exclusive, royalty-free licence to use it without restriction.

4. Acceptable use

You agree not to:

  • Use the Services in violation of any applicable law or regulation.
  • Engage in harmful, fraudulent, deceptive or harassing conduct, including unlawful calling practices.
  • Reverse engineer, decompile or attempt to extract the source code or models underlying the Services.
  • Access non-public areas of our systems or test their vulnerability without authorisation.
  • Interfere with or disrupt the integrity or performance of the Services or networks.
  • Attempt to gain unauthorised access to the Services or related accounts and systems.

We reserve the right to suspend access immediately for violations of this section.

5. Payment, subscription and cancellation

Fees, billing cycles and payment terms are set out in the applicable Service Order. Unless stated otherwise, fees are payable in advance for each billing period, you authorise us to charge your designated payment method, and applicable taxes are your responsibility. No refunds are provided for any unused portion of a subscription period unless otherwise specified in the Service Order.

6. Confidentiality

Each party will protect the other party’s confidential information — information marked confidential or that would reasonably be understood to be confidential — using at least reasonable care, and will use it only as necessary to perform under these Terms. Customer Data is your confidential information. These obligations do not apply to information that is publicly available, already known without restriction, lawfully received from a third party, or independently developed. Disclosures required by law are permitted, with advance notice where legally possible.

7. Termination

You may stop using the Services and cancel your account as set out in your Service Order. We may suspend or terminate access immediately for material breach, non-payment or where required by law. Upon termination, your right to access the Services ceases. Provisions that by their nature survive termination — including ownership, disclaimers, indemnity and limitations of liability — will survive. Customer Data is handled after termination in accordance with our data retention practices and the applicable Service Order.

8. Warranties and disclaimers

We warrant that the Services will substantially conform to their accompanying documentation; remedies for service issues are governed by any applicable service level agreement. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted or error-free. Product capabilities and results described on this website are illustrative and may vary.

9. Indemnification

You agree to indemnify and hold harmless Zora Automation Private Limitedand its officers, directors, employees and agents from any claims, damages, liabilities and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your breach of these Terms, your violation of any law or third-party rights, or any claim that Customer Data infringes the rights of a third party.

10. Limitation of liability

To the maximum extent permitted by law, Zora Automation Private Limited will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our aggregate liability arising out of or relating to the Services will not exceed the greater of (a) one thousand Indian Rupees (INR 1,000) or (b) the amount you paid to us for the Services in the twelve (12) months immediately preceding the claim.

11. Data protection and privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Where you use the Services to process your end users’ data, you act as the data controller and are solely responsible for complying with applicable laws, including obtaining any necessary consents and providing required disclosures to your end users.

12. Changes to these terms

We may modify these Terms from time to time. Material changes will be communicated by posting on this website or other reasonable notice. Your continued use of the Services after revisions take effect constitutes acceptance of the modified Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms will be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, with its seat in Hyderabad, Telangana, conducted in English by a sole arbitrator appointed by mutual agreement (or, failing agreement within 30 days, in accordance with the Act). Subject to the foregoing, the courts of Hyderabad have exclusive jurisdiction.

14. Miscellaneous

  • Entire agreement: these Terms, any Service Order and the Privacy Policy constitute the entire agreement between you and us regarding the Services.
  • Waiver and severability: failure to enforce a provision is not a waiver; if any provision is held invalid, the remaining provisions remain in effect.
  • Assignment: you may not assign these Terms without our written consent; we may assign them freely.
  • Force majeure: we are not liable for failures or delays caused by circumstances beyond our reasonable control.
  • Relationship: the parties are independent contractors; these Terms create no partnership, agency or employment relationship.
  • Compliance with laws: the Services are operated from India; if you use them from elsewhere, you are responsible for compliance with local laws.
